Contributing a vehicle to a company: documenting its value

When a vehicle is contributed to a company’s capital, its value must be explained in documents prepared with the professionals advising on the transaction. The Valocar Dossier provides traceable, shareable market documentation prepared on the date it is created. It can help prepare discussions with a fiduciary, notary or auditor and, where relevant, complement a file intended for the commercial register.

Document my vehicle’s value

When this situation arises

  • Forming a company with a vehicle contributed to its capital.
  • A capital increase that includes a vehicle contribution.
  • Preparing documents requested by a fiduciary, notary or auditor.
  • Explaining the value assigned to the vehicle on the transaction date.

What Valocar provides

  • An estimate of market value as of the dossier’s preparation date.
  • A documented method, value factors and results.
  • Market comparables when they are actually available.
  • A shareable PDF dossier to prepare and complement discussions with the professionals involved.

What Valocar does not replace

  • A formation report.
  • An auditor’s review or attestation.
  • A notarial deed.
  • The founders’ or other parties’ assessment.
  • The review of the file and decision of the competent commercial register office.
  • A physical inspection of the vehicle where one is needed.

The Valocar Dossier documents an estimate of market value as of its preparation date. It does not verify vehicle ownership, free transferability, the existence of financing or a lease, physical condition or the transaction’s legal compliance.

Contribution to a company or sale to a company?

In a contribution to capital, the vehicle is used to pay up all or part of the company’s capital, in a transaction subject to specific documents and checks. In an ordinary sale, the company buys the vehicle for a price. The owner, economic purpose and sometimes even the same amount may seem comparable, but the transaction’s classification and required documents differ.

If you are unsure how the transaction should be classified, seek advice from your fiduciary, notary or auditor.

Frequently asked questions

Does the Valocar Dossier provide an official value for the commercial register?

No. The Valocar Dossier documents an estimate of market value as of its preparation date. It may be shared with the professionals preparing or reviewing the transaction, but it does not determine the value ultimately adopted and does not guarantee that the competent commercial register office will consider it sufficient supporting evidence.

Does the Valocar Dossier replace the incorporation report or auditor’s attestation?

No. The Valocar Dossier may provide market information that helps explain the value. It is neither the incorporation report prepared under the founders’ responsibility nor the verification attestation issued by a licensed auditor.

Can I attach the dossier to my documents?

Yes, if the professionals advising you consider it useful. Ask them in advance which supporting documents, vehicle information and additional checks are required for your transaction.

Is this the same as selling my vehicle to my company?

No. A contribution to capital and an ordinary sale are different transactions. Their classification and required documents should be confirmed with the professionals advising the company.
